ABC, LLC is a restaurant and party planner.   The LLC has 20 members and has elected to be manager-managed by five individuals. Abby is one of the members who manages. She asks her group of managers to design and host a party for a client. Abby had one manager who is not a member (Bob) oversee the food preparation and another manager who is also not a member (Carol) oversee everything else. Both Bob and Carol had three employees help with the project. At the party, everyone gets sick because of bacteria developed in food that Bob left unrefrigerated overnight.

Abby is liable for Bob\'s action .Abby is the manager and she is responsible for all the actions of her managers who works under her.So any wrong actions done by her managers,Abby is responsible for it.Abby has to monitor all the progress of work done by her managers and had to ensure that the quality of the food is good.

Abby has the authority and should have and control over all employees and she should ensure that all the employees work efficiently without any mistake.Abby has to train them to make quality food and make them know the importance of food preparation.

Abby also had employed two managers who are not members.So Bob and Carol are the two managers who are not members of the restaurant.So they may not know the specifics or procedures.Abby should have instructed correctly and ensured whether everything is prefectly done.

Finally Abby is liable for Bob\'s action.But The client may damage the reputation of LLC restaurant by framing a complaint against LLC restaurant legally for not providing quality food.Bob should also be fired for his carelessness towards work
